Terms of Service

1. Who this applies to

These Terms of Service ("Terms") form a legal agreement between you and GiftNote ("we", "us", "our"). They govern your use of giftnote.ai and any song generated through our service.

By creating an account, purchasing credits, or generating a song, you agree to these Terms. If you do not agree, please do not use GiftNote.

2. What GiftNote does

GiftNote is an AI music generation service. You provide a story, an occasion, a relationship, and a few creative choices. Our AI pipeline generates original lyrics, an album cover, and an audio track — in about 5 minutes — which you can play, download, and share.

The service is provided "as is" without warranties of any kind. We make no promises that every generated song will meet your expectations. AI output is probabilistic by nature.

3. Eligibility

• You must be at least 13 years old to create an account.
• If you are between 13 and 18, you must have permission from a parent or legal guardian.
• You must provide accurate information when registering and keep your login credentials secure.
• You are responsible for all activity that happens under your account.

4. Credits, payments, and refunds

GiftNote runs on a credit system. One credit generates one complete, playable song.

How credits work

• Free trial credit: New users receive 1 free credit on sign-up, valid for 3 days.
• Purchased credits: Credits you buy are valid for 60 days from the purchase date.
• Billing is only on success: You are charged 1 credit only when a song is fully generated AND a share link is created. Any failure, cancellation, or abandonment before that point is free — you never pay for incomplete songs.
• No subscriptions: GiftNote does not currently offer recurring subscriptions. All purchases are one-time credit packages.

Payment processing

All payments are handled by an industry-standard third-party payment processor. GiftNote never sees or stores your full card details. By paying, you also accept the terms of service of our payment processor, which will be displayed to you at checkout time.

Refunds

Our refund policy is described separately in the Refund Policy. In short: if your song failed or the service had a bug, we refund. If you received a completed song and just changed your mind, we generally do not.

Price changes

Credit prices may change over time. Prices in effect at the moment of your purchase are the prices you pay — no retroactive charges.

5. Who owns the songs you create

This is the part that matters most, so we're making it explicit.

You own the generated song

Once a song is fully generated and delivered to your account, you own the generated audio, lyrics, and cover art for personal and gifting use. You can:

• Play and download the song as many times as you like
• Share the song on social media or via the share page
• Give it as a gift to the person it was made for

Commercial use

You may use your generated songs for non-commercial personal use and private gifting. Commercial use (selling the song, monetizing on Spotify/YouTube/TikTok, using in paid advertising, or distributing as part of a commercial product) requires our written permission. Email us at support@giftnote.ai if you want to discuss commercial use.

The story you submit

You retain all rights to the personal story, memories, and text you submit as input. By submitting them, you grant GiftNote a limited, non-exclusive license to process them solely for the purpose of generating your song. We do not use your submissions to train AI models. We do not share them publicly. We do not sell them.

Our platform

GiftNote owns all website code, branding, creative workflows, UI design, and proprietary technology. Nothing in these Terms grants you rights over our platform itself.

6. Acceptable use — what you cannot do

You agree not to use GiftNote to:

1. Generate songs that infringe anyone's copyright, trademark, or right of publicity (e.g., "make me a song that sounds exactly like Taylor Swift singing about my dog").
2. Generate hate speech, harassment, threats, or content targeting protected groups.
3. Generate sexually explicit content involving minors, or any content that sexualizes minors in any form.
4. Generate content that promotes real-world violence, terrorism, or illegal activity.
5. Attempt to reverse engineer, scrape, or bypass rate limits on the service.
6. Resell generated songs or GiftNote credits without written permission.
7. Create accounts in bulk, use automated tools to abuse the service, or share one account among many people.
8. Upload or submit content that contains other people's private information without their consent.
9. Misrepresent AI-generated songs as entirely human-written (disclose they are AI-generated when appropriate).

Violating these rules may result in immediate account termination and forfeiture of remaining credits, without a refund.

7. Service availability

We will try to keep GiftNote online 24/7, but we cannot guarantee it. Scheduled maintenance, third-party outages (our AI providers, hosting, payment processor), and unexpected bugs may cause temporary downtime. We are not liable for lost time, lost songs, or consequential damages during outages.

If the service is down when you try to generate a song, you will not be charged any credit.

8. Account termination

You can terminate your account at any time by emailing us at support@giftnote.ai. On termination, your songs will remain available for download for 30 days before being permanently deleted.

We may terminate your account immediately and without prior notice if:

• You violate these Terms or the Acceptable Use section above
• We are required to do so by law
• Your account has been inactive for more than 2 years (with 30-day warning email)

In all termination cases, previously generated songs remain your property and can be downloaded within the grace period.

9. Limitation of liability

To the maximum extent allowed by law:

• GiftNote is provided "as is" without warranties of any kind, express or implied.
• We are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
• Our total liability to you for any claim is limited to the amount you paid us in the 12 months preceding the claim (or $100, whichever is higher).
• We are not liable for the quality, content, or emotional impact of generated songs.

10. Disputes and governing law

These Terms are governed by the laws of the jurisdiction where GiftNote is operated. Any disputes should first be raised by emailing support@giftnote.ai — we strongly prefer to resolve issues directly before escalating.

If direct resolution fails, disputes will be resolved through binding arbitration where possible, and in courts of competent jurisdiction where arbitration is not available.

11. Changes to these Terms

We may update these Terms as GiftNote evolves. Material changes will be announced by email or a site banner at least 14 days before they take effect. Continuing to use GiftNote after that date means you accept the new Terms.
